Terms of Service

1. Acceptance of Terms

By accessing, browsing, or using The Boardroom platform ("the Platform"), operated by Thayldn Management Consulting LLC ("the Company," "we," "us," or "our"), you acknowledge that you have read, understood, and agree to be bound by these Terms of Service. If you do not agree to these Terms, you must immediately discontinue use of the Platform.

2. Disclaimer — Not Financial Advice

The Company is not a financial advisor, legal counsel, or tax professional. All content, tools, templates, and resources provided through the Platform are for informational and educational purposes only. Nothing contained herein constitutes financial, legal, or tax advice. You should always consult with qualified professionals before making financial or business decisions.

3. Intellectual Property

All code, software, algorithms, user interface designs, visual elements, graphics, logos, trademarks, text, strategies, templates, proprietary frameworks, course content, audio compositions, and any other materials accessible through the Platform (collectively, "Proprietary Content") are the exclusive intellectual property of Thayldn Management Consulting LLC and are protected by United States and international copyright, trademark, trade secret, and other intellectual property laws.

You are granted a limited, non-exclusive, non-transferable, revocable license to access and use the Platform solely for your personal, non-commercial use in accordance with these Terms. This license does not transfer any ownership rights to you.

4. No-Copying & Anti-Reverse-Engineering Clause

You expressly agree that you shall NOT, under any circumstances:

• Copy, reproduce, duplicate, screenshot, screen-record, photograph, or otherwise capture any portion of the Platform or its Proprietary Content;
• Reverse-engineer, decompile, disassemble, or otherwise attempt to derive the source code, algorithms, data structures, or underlying architecture of the Platform;
• Create derivative works based on, or substantially similar to, the Platform or any of its features, layouts, or workflows;
• Use any automated tools, bots, crawlers, scrapers, or similar technologies to extract data or content from the Platform;
• Mirror, frame, or otherwise reproduce the Platform on any other server or internet-based device.

Any violation of this clause shall constitute a material breach of these Terms and may result in immediate termination of your account, legal action, and claims for damages including but not limited to injunctive relief.

5. Prohibited Use

You agree not to use the Platform for any purpose that is unlawful or prohibited by these Terms. Specifically, you shall not:

• Scrape, harvest, or collect any information from the Platform through automated means;
• Duplicate, redistribute, sublicense, sell, or commercially exploit any Proprietary Content;
• Interfere with or disrupt the integrity or performance of the Platform or its servers;
• Attempt to gain unauthorized access to any part of the Platform, other users' accounts, or any systems connected to the Platform;
• Use the Platform to transmit any malware, viruses, or other harmful code;
• Impersonate any person or entity or misrepresent your affiliation with any person or entity.

6. Account Security

You are solely responsible for maintaining the confidentiality of your login credentials and for all activities that occur under your account. The Platform employs Vault Shield protection, session timeouts, encrypted storage, and other security measures to safeguard your data. However, no system is completely secure, and you must also take reasonable precautions to protect your account from unauthorized access.

7. Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, THAYLDN MANAGEMENT CONSULTING LLC, ITS OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, AND AFFILIATES SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, PUNITIVE, OR EXEMPLARY DAMAGES, INCLUDING BUT NOT LIMITED TO DAMAGES FOR LOSS OF PROFITS, GOODWILL, USE, DATA, OR OTHER INTANGIBLE LOSSES, ARISING OUT OF OR IN CONNECTION WITH:

• Your access to, use of, or inability to use the Platform;
• Any reliance placed on the content, tools, or resources provided through the Platform;
• Any unauthorized access to or alteration of your transmissions or data;
• Any third-party conduct or content on the Platform.

IN NO EVENT SHALL THE COMPANY'S TOTAL LIABILITY TO YOU EXCEED THE AMOUNT YOU HAVE PAID TO THE COMPANY IN THE TWELVE (12) MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM.

8. Refund Policy — Final Sale

ALL SALES ARE FINAL. Due to the immediate delivery of proprietary business data, NAICS codes, templates, and digital resources upon purchase, no refunds will be issued once access has been granted. By completing a purchase, you acknowledge and agree to this no-refund policy.

9. Personal Liability Shield

"The Boardroom" is a digital product and platform operated by Thayldn Management Consulting LLC. Your use of this platform does not create or constitute a personal partnership, joint venture, employment relationship, or professional-client relationship with the Executive Director, any individual officer, or any person associated with the Company. All content and services are provided on an "as-is" and "as-available" basis without warranties of any kind.

10. Indemnification

You agree to indemnify, defend, and hold harmless Thayldn Management Consulting LLC and its officers, directors, employees, agents, and affiliates from and against any and all claims, liabilities, damages, losses, costs, and expenses (including reasonable attorneys' fees) arising out of or in connection with your use of the Platform, your violation of these Terms, or your violation of any rights of any third party.

11. Governing Law & Jurisdiction

These Terms shall be governed by and construed in accordance with the laws of the State in which Thayldn Management Consulting LLC is registered, without regard to its conflict of law provisions. Any legal action or proceeding arising under these Terms shall be brought exclusively in the courts located within the jurisdiction of the Company's principal place of business.

12. Modifications

We reserve the right to modify, amend, or update these Terms at any time at our sole discretion. Changes will be effective immediately upon posting to the Platform. Your continued use of the Platform after any such changes constitutes your acceptance of the updated Terms. We encourage you to review these Terms periodically.
